Giftily - Seller Membership and Responsibility Agreement 

1. Definitions

• Platform: Giftily (https://giftily.au), operated under Australian law.

• Seller: Any individual or business registering to sell products.

• Customer: A user who purchases products via the Platform.

2. Seller’s Responsibilities

• Sellers must ensure the accuracy, availability, and quality of listed products.

• Sellers are responsible for prompt order fulfillment and customer service.

• Product listings and stock information must be kept up to date.

• Sellers must upload a minimum of one product within 7 days of registration.

• Inactive accounts without listed products for over 30 days may be suspended.

3. Payment Terms

• All payments are processed via Stripe.

• After Giftily’s commission is deducted, the remaining balance is transferred to the Seller’s Stripe account.

• The Seller must maintain an active and verified Stripe account.

• Commission rates vary by category and are visible in the Seller Dashboard.

4. Product Compliance

• All listed products must comply with the Australian Consumer Law.

• Illegal, counterfeit, misleading, or inappropriate content or products are prohibited.

• Sellers must not upload any items that violate copyrights, trademarks, or community standards.

5. Returns and Refunds

• Sellers must comply with Giftily’s official return and refund policy.

• Refund Policy Overview:

• General Products: Full refund available within 14 days of delivery.

• Personalized or made-to-order items: Not eligible for change-of-mind returns.

• Defective, missing, or damaged products: Full refund or replacement required.

• Late or misdelivered items: Full refund must be provided to the customer.

6. Breach of Agreement

• Breaches may result in one or more of the following:

• Temporary or permanent account suspension

• Increased commission rates

• Financial penalties

• Listing or sale restrictions

• Legal liability and contract termination

7. Banner Advertising 

• Giftily offers premium banner placements on the homepage or category pages.

• Fees for promotional banners vary depending on duration and visibility.

• Sellers interested in banner promotion must apply via support@giftily.au.

8. Intellectual Property

• Sellers must ensure they own all content rights for images, text, or materials uploaded to the platform.

• Giftily may use product images for marketing and promotion with credit to the seller.

9. Limitation of Liability

• Giftily is not responsible for losses, delays, or damages caused by the Seller’s activities or third-party delivery services.

• Sellers are fully responsible for fulfilling legal, tax, and shipment obligations.

10. Governing Law

• This Agreement is governed by the laws of Australia.

• Any disputes shall be handled by the courts of Perth, Western Australia.

11. Acceptance

• By registering and ticking “I agree,” the Seller accepts and is bound by the terms of this Agreement.
